These terms govern your use of the Crumb platform. Crumb is provided by A&R Retail Group Limited, a company registered in England and Wales (company number 15955485), registered office 8 Perrys Lea, Bradley Stoke, Bristol, England, BS32 0EE ("we", "us", "Crumb"). By creating an account or using the platform you agree to these terms.

1. The service

Crumb is an operations platform for UK Subway® franchisees that brings sales, invoicing, VAT, labour, payroll and employee records together in one place. We provide the platform on a subscription basis and improve it over time; specific features may be added or changed.

2. Accounts and eligibility

You must give accurate account details and keep your login credentials secure. You are responsible for activity under your accounts and for the users you authorise. Crumb is intended for businesses operating Subway® stores in the United Kingdom.

3. Subscription and fees

Crumb is charged as a monthly platform fee plus a monthly fee for each store on your subscription. Your exact price is set out in your order or quote. Fees are billed monthly and, unless your order says otherwise, are exclusive of VAT. We may change our fees on reasonable prior notice, effective from your next billing period.

4. Your data

You retain all rights in the data you put into Crumb. For business and employee data you enter, you are the data controller and we act as your processor under our privacy notice and data processing terms. You are responsible for having a lawful basis to provide employee and third-party personal data to the platform.

5. Acceptable use

You agree not to misuse the platform — including by attempting to breach its security, access data that isn't yours, disrupt the service, or use it unlawfully or to infringe others' rights.

6. Availability and support

We aim to keep Crumb available and reliable and to provide reasonable support, but we do not guarantee uninterrupted access. We may carry out maintenance and will seek to minimise disruption. Any agreed service levels will be stated in your order.

7. Intellectual property

Crumb, its software, design and content are owned by us or our licensors. We grant you a non-exclusive, non-transferable right to use the platform for your business for the duration of your subscription.

8. Liability

Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for loss of profits, revenue or data, or for indirect or consequential loss, and our total liability arising out of or in connection with the service is limited to the fees you paid in the twelve months before the claim. The platform supports your record-keeping but does not replace professional accounting or legal advice.

9. Term and termination

Your subscription continues until cancelled in line with your order. Either party may end the agreement on notice or for material breach. On termination you may export your data for a reasonable period, after which we may delete it, except where we must retain records to meet legal obligations (for example, HMRC invoice retention).

10. Trademarks

Crumb is an independent platform and is not affiliated with, endorsed by, or sponsored by Subway®. Subway®, LiveIQ® and FreshConnect® are trademarks of their respective owners, referenced for identification only.

11. Changes to these terms

We may update these terms from time to time. Where changes are material we will give reasonable notice. Continued use of the platform after changes take effect means you accept the updated terms.

12. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
